Vendor Agreement

Binding agreement between you (the Vendor) and FelbaStore Limited governing your use of the marketplace to sell goods or services.

By submitting a vendor application or listing any product on the Service, you accept this Agreement, the Terms of Service, the Privacy Policy and the Acceptable Use Policy.

1. Onboarding & KYC

Vendors must complete identity, business and bank-account verification appropriate to their tier. We may request additional documents at any time and may suspend selling privileges until KYC is satisfied.

2. Listings & warranties

You warrant that you (a) own or are authorised to sell each listed item, (b) have made all required regulatory disclosures, (c) hold all permits/licences for restricted categories, and (d) ship items matching the listing in the promised time-window.

3. Prohibited categories

Counterfeits, recalled goods, weapons, controlled substances, tobacco/alcohol without permits, gambling content without BCLB approval, sanctioned items, illegal wildlife products, hate or sexual-exploitation content, and any item in our prohibited-items list. 4. Pricing, fees and tax

You set listing prices inclusive of VAT where applicable. We deduct platform commission (default 10% of net sale, configurable per category) and applicable processing fees from each settlement. You are the seller of record for tax purposes and responsible for issuing tax invoices via eTIMS where required. FelbaStore may be required to withhold tax under the Income Tax Act and remit it to KRA.

5. Service-level commitments

  • Acknowledge new orders within 24 hours.
  • Dispatch within the listing’s promised window.
  • Respond to buyer messages within 24 hours.
  • Maintain a dispute rate below 3% and a cancellation rate below 5%.

6. Refunds, chargebacks & reserves

FelbaStore may, acting reasonably, refund a buyer or accept a chargeback and recover the amount from your settlement or wallet. We may apply a risk reserve on accounts with elevated dispute or fraud signals.

7. Settlement & payouts

Approved sales are released to your wallet on a rolling 7-day cycle, less commission, fees and reserves. Payouts to your verified bank or M-Pesa account are available once the wallet exceeds the minimum threshold of KES 1000.

8. Data protection

For order-fulfilment data we share with you (buyer name, address, phone), you act as an independent controller, must comply with the Data Protection Act, 2019, and may use the data only for fulfilment and after-sales of the specific order.

9. Indemnity, liability cap and term

You indemnify Felbastore Limited for losses arising from your breach of this Agreement, your products, or your handling of customer data. Our aggregate liability to you in any 12-month period is capped at the net commission we retained from your sales in that period. Either party may terminate on 30 days’ notice; we may suspend or terminate immediately for material breach.

10. Acceptance log

Your acceptance is recorded immutably with the document version, timestamp, IP and user-agent. Material changes require re-acceptance.
